Legal and Commercial Services professionals deliver and coordinate legal, contract and commercial advice and counsel in support of Accenture's or our clients' business, working to manage and mitigate risk and ensure ethical behavior and compliance with laws and company policies.
Job Description
Position responsible for corporate registrations, legalization of documents and general corporate matters in relation to our many US legal entities and the states in which they operate.
Key Responsibilities:
Monitors, prepares and files required periodic corporate filings at Secretary of State level in each state where each of our many US legal entities operate
Serves as a liaison with our outside corporate registered agent (Corporate Creations) and a variety of local legal/regulatory officials including secretaries of state
Interfaces with outside counsel and Accentures Tax, Controllership, Treasury and V&A/PMI teams to collect information required to prepare filings and reports
Manages legalization of documents including notarization, apostille and other forms of certifications
Assist with corporate secretarial functions including tracking a large number of entities, drafting board and shareholder minutes/consents, secretary/incumbency certificates, formation documents, etc.
Maintain electronic corporate minute books
Assist our Contracting, Contract Management and client engagement teams with client proposals, by providing accurate information about our corporate structure
Assist our Offerings & Services Regulatory Compliance Team in Legal with regulatory filings and renewals in the US.

Rob Roberts for US matters.Ron Roberts to act as career counselor
No supervisory responsibilities
Supports members of the Geographic Legal team in US
Interfaces regularly with Accentures Tax, Controllership, and V&A/PMI teams and outside law firms and Corporate Creations (our agent for service of process)
Work Requirements:
The job occasionally requires travelling to and waiting in line at government offices in Chicago for apostilles and other official stamps and documents. Minimal travel may be required.

Basic Qualifications:
Paralegal Certificate or equivalent
Bachelor's degree or more education is desirable
Illinois Notary Public
Minimum of 3 years Corporate Paralegal experience in a law firm or a fast-paced business organization
Preferred Qualifications:
Juris Doctor degree
Entity registration and maintenance at state level in U.S.A.
Law firm experience in corporate matters
Experience in forming and maintaining legal entities and preparing required documents
Proficient in using SharePoint and MS Office suite of Products, including Word and Excel
Experience with electronic signature products and electronic records
Professional Skills:
Good spoken and written communication skills
Intelligence, Energy and Integrity
Fluent in English
Excellent understanding of corporate structures, legal entity types and corporate governance matters
Working knowledge of how legal entities are formed and maintained and the related documents and filings that are required
Ability to handle large workload
Attention to detail
Responsive and follows through on commitments
Excellent oral and written communication skills and ability to communicate in multinational environment
Ability to communicate effectively with top-level Accenture executives and obtain their required approvals
Ability to demonstrate good judgment and make decisions in a fast-paced environment
Demonstrated leadership in professional setting; either military or civilian
Demonstrated teamwork and collaboration in a professional setting; either military or civilian
