Overview:

The Financial Reporting Manager will be directly responsible for managing the preparation of Sterling's SEC filings, including 10Qs and 10K, and coordination with the legal team with respect to the Proxy Statement and other required filings. Additionally, the Director will provide technical guidance with recent accounting policy developments, lead verbal and written communication with senior leadership and external auditors for technical accounting/reporting/policies, and assist with all technical accounting projects and related activities.

Additional Responsibilities:

Prepares explanations and analysis of significant or unusual variances in actual results from budget, forecasts and prior periods, as needed.
* Assists in preparing the financial statements and other documents required under bank covenants, state contractor qualification and licensing requirements, surety agreements and other public reporting requirements in accordance with GAAP.
* Performs research on SEC, GAAP and other research.
* Assists in preparing and distributing materials for quarterly Board meetings.
* Maintains the records for the Company's weighted average shares.
* Provides schedules and supporting documentation to the external auditors as needed.
* Maintains compliance with SOX over Financial Reporting and documenting changes as they occur.
* Participates in the annual financial planning and reporting process.
* Performs and implements policies and procedures relating to financial and business practices of the Company, which will provide for efficient operations as well as a strong internal control environment.
* Provides M&A due diligence and integration support, including financial reporting for acquisitions or mergers utilizing knowledge of consolidation accounting.
* Assisting the CAO/Controller with supervising, evaluating and improving the accounting function.

* Performs other related duties, or special projects as assigned or requested by CAO/Controller and to be determined on own initiative.

While performing the essential functions of this job, the incumbent is regularly required to stand, walk, use hands to finger, handle, or feel, reach with hands and arms, and talk or hear. The incumbent is frequently required to sit. The incumbent is occasionally required to kneel, crouch or stoop. The incumbent on occasion may lift, move or push up to 25 pounds, and frequently lift, move or push up to 10 pounds. Specific vision abilities required by this job include close vision and color vision. Extended periods of sitting at desk while working on the computer or phone in a climate controlled environment as well as movement within an office environment and navigating between desks and file cabinets. Ascending and descending stairs is required to gain access to the worksite.

 

Job Responsibilities Include:

Lead the company's SEC compliance efforts, including strategy, project planning, analysis of requirements, document support, preparation and review, and filings (e.g. 10-Q, 10-K, 8-K, Proxy, SD, etc.).

Conduct technical research as needed to support SEC filings and prepare position papers and other documentation as appropriate.

Manage the Corporate Financial policies repository, including drafting of new policies and ensuring existing policies are updated on a periodic basis.

Coordinate the preparation and dissemination of periodic reports to the Audit Committee

Provide project leadership to accounting and reporting related initiatives (e.g., adoption of new accounting standards).

 

Qualifications:

-BA or BS in Business, Finance, or Accounting. CPA preferred.

Minimum of 7 years of related experience.

Minimum of 2 years of experience, preparing key SEC filings, including, but not limited to, Forms 10-K, 10-Q, related MD&A and footnote disclosures, etc.

Strong verbal and written communication skills, a proven ability of writing technical accounting memos to diverse audiences.

Experience with consolidations, budgeting & forecasting, and analysis of financial statements.

Big 4 or National firm public accounting experience, E&C SEC clients preferred.

Project/Percentage of Completion Accounting experience preferred.
